Neonode Enters Into Definitive Purchase Agreement

Neonode Inc., the optical touch technology company, announced today that it has entered into a definitive purchase agreement with an institutional investor in a private placement of common stock for $10 million in gross proceeds. Under the Purchase Agreement, Neonode will issue 2.5 million shares of common stock at a price of $4.00 per share.

Neonode also will issue to the institutional investor, under the Purchase Agreement, a warrant to purchase an additional 1,964,636 shares of common stock at an exercise price of $5.09. The warrant is exercisable for 18 months. If the warrant is fully exercised, Neonode will receive an additional $10 million in gross proceeds.

Ascendiant Capital Markets, LLC acted as placement agent for the transaction.

"We are pleased to announce this financing event for Neonode," said Chief Executive Officer Thomas Eriksson. "We expect this financing will comfortably carry us to breakeven, while enabling Neonode to fully-capitalize on its numerous market opportunities."

Final closing of the investment is expect to occur during the week of May 12, 2014 and is subject to standard closing conditions. The full terms of the transaction will be filed with the Securities and Exchange Commission in a Current Report on Form 8-K on or around May 12, 2014. Neonode has agreed to file a registration statement covering resales of the common stock and shares under the warrants within 30 days following the closing.
